This thesis contains two studies that examine the interaction between corporate governance and firm performance. In the first study, I examine whether board friendliness reduces crash risk. I measure friendliness by the Political Homophily Index (PHI), which captures the similarity of political orientations of managers and directors. We find that firms’ crash risk decreases in political homophily. The results are robust when we instrument the change in PHI by the change in local political homogeneity. Our results suggest that better alignment in political orientations facilitates information sharing, including information on bad outcomes in a timely manner. The effect is more pronounced when firms have stronger corporate governance mechanisms and directors have a stronger incentive to acquire information. In the second study, I examine how the use of relative performance evaluation (RPE) affects industry competition. Using data from the U.S. airline industry, we estimate a dynamic game of competition with heterogeneous firms in an oligopolistic market with the presence of RPE contracts. As is standard, RPE makes CEO compensation less sensitive to market conditions. Therefore, the CEO’s propensity to operate in a given market is determined by a trade-off that arises between the reduction in compensation based on market conditions and the gain from being compared to competing agents. The estimation results show that the use of RPE decreases a firm’s tendency to be active under bad market conditions by 10.1%. Conversely, the tendency to be active rises in good market conditions by 12.4%. These effects are stronger for firms with lower fixed operating costs.

The study investigates the relationship between Corporate Governance and the Performance of Banks in Ghana using their financial performance. Primary and Secondary data were collected through the administration of structured questionnaires and from the Ghana Association of Bankers respectively. In analyzing the data, Panel Data Methodology was used. The findings show that large board size, long serving CEOs, size of audit committee, audit committee independence, foreign ownership, institutional ownership, annual general meeting and dividend policy are positively related and associated with the financial performance of banks in Ghana. The banks are encouraged to adopt good corporate governance practices to improve on their financial performance and also protect the shareholders. Most importantly, the regulatory authorities must ensure compliance with good corporate governance and apply the appropriate sanctions for non-compliance to help the growth and development of the banking sector. The main contribution of the study to knowledge lies in its effort in strengthening corporate governance beyond the rights and responsibilities of different stakeholders in the management of a firm into areas involving the relationship between finance providers and a firm, compliance with legal, ethical and environmental needs of the society among others. This contribution has in no small way helped in enhancing my understanding about the interpretations which have shaped the corporate governance in relation with performance of the firm both in theory and practice. Corporate governance plays a major role in macroeconomic stability and provides the appropriate environment for economic growth as well as society welfare. Good corporate governance practices are important in reducing risks for investors, attracting investment capital and enhancing performance of firms. The aim of this paper is to observe the relationship between corporate governance and firm performance in banking industries of Bangladesh. This study gave attention to nine variables i.e. Board Size, Board Composition, Board Ownership, Institutional Ownership, Foreign Ownership, Brand name of Audit firm, Quality of Audit Committee, Audit Committee Meeting and Gender are used to measure the corporate governance whereas return on assets, return on equity, and net profit are used to measure the firm's performance. Ten (15) banking companies of Bangladesh representing the period of 2010 to 2015 were selected purposively used in this study. The descriptive analysis, correlation and multiple regression analysis were applied to test the impact of corporate governance on firm performance. The results showed that there were impacts of corporate governance on ROA. However, the study found a positive relationship between the variables of corporate governance and firm's performance.

This study examines the impact of corporate governance mechanisms on firm's performance on listed conventional banking companies at Dhaka Stock Exchange (DSE). Based on existing empirical studies, five key attributes of corporate governance (board size, the proportion of independent directors on board, the proportion of female directors on board, institutional ownership and size of audit committee) have been selected to identify their influence on firm's financial performance. Tobin's Q (a market-based performance measure) and Return on Asset-ROA (an accounting based performance measure) consider as financial performance measures. Using OLS as a method of estimation, the results provide evidence of a significant negative relationship between the performance of the firm and the proportion of independent directors on board as well as size of the audit committee. The result also provides evidence of a significant negative relationship between Tobin's Q and institutional ownership but a positive and insignificant between ROA and institutional ownership. Furthermore, there is a negative relationship between the proportion of female directors in board and the performance of the firm but is not significant. Board size as predictor variable is negative and insignificant with Tobin's Q.

In the past decades, the talking about corporate governance and its effects on organizational performance and risk reduction were increasing especially in developing countries. This paper was highlighted on the reality of the corporate governance in Yemen through discussing the policies and instructions which are adopted by the financial authorities and banks. We choose the adoption of corporate governance in the banking sector as the importance for this vital industry in economic stability. This study followed the theoretical framework method in the analysis the laws, regulation, and procedures which developed by the central bank of Yemen. Also, analysis the issues and challenges of adoption the corporate governance in the banking sector. We found that the financial authorities in Yemen achieved a remarkable development in launched rules, laws and regulations, while the practice for these rules from the banks still in the minimum level, and this refer to unstable in the political issues in the country since 2011. We recommend more research regarding the effect of adoption corporate governance in the banking sector in developing countries.

N2 - This thesis examines how corporate governance and ownership characteristics relate to firm ESG performance, disclosure, and the ensuing effects on financial performance and corporate risk management using several unique datasets and diverse methodologies. I consider the effects of stewardship codes and mandatory ESG reporting requirements on ESG disclosure and quality. The preferences for various categories of institutional investors for firm ESG characteristics are examined with relationship to public equities as well as investments in alternative asset classes. I examine the effects of corporate governance and ownership features on risky firm behavior and then the resulting market reactions and cost of capital effects in the wake of regulatory fines. Finally, I consider the relationship between corporate governance and risk management in the context of firm captive insurance usage. This thesis contributes to prior academic literature on how ownership characteristics and corporate governance impact company ESG disclosure and quality as well as the linkages between corporate governance and financial performance and risk management. From a policy perspective, the results provide evidence of the beneficial impacts of ESG on risk management and financial performance. Furthermore, the considerations of different company ownership characteristics as well as various legal and regulatory environments with respect to ESG disclosure by companies and institutional investors can help inform appropriate policy tools for fostering the beneficial effects of improved ESG quality.

IT governance (ITG) is an integral part of general governance—irrespective of enterprises, public administration or private social networks with Corporate Governance (CG) in mind. Our thesis is that only a common platform along with fair Information management can cope with the CG-task. To improve this mentored platform each player has to solve the separated views of CG as well as of ITG. The first step will be to hit a common IT-Strategy. The main task of ITG is the integration of business strategy and IT-Strategy. The inclusion of common goals (of CG) by sharing IT creates a win-win situation. On the one hand for the organisations—enterprises, public organisations or the civil networks—to fulfil their social responsibility in accordance with their business activity, and on the other hand for the necessary private stakeholders or citizen to have a better understanding, a common relationship or a quicker information flow concerning the actual situations. New knowledge, new trends, new procedures and political changes will influence this common network and the underlying IT-Strategy. To understand the benefits of such a network, we present different synergies and strategies of cooperation. We show the kind of services that are necessary to augment the advantages—for enterprises, administrations and the civil population. We consider the necessary control mechanisms as well as a fair system of sharing information and the responsibility, since every company bases upon trustfulness.

Editorial comment : Last, but not least, one may not forget about information building the possibility of cooperation, education and management. IT governance (ITG) is an integral part of general governance—irrespective of enterprises, public administration or private social networks with Corporate Governance (CG) in mind. A common platform along with fair Information management can cope with the CG-task. To improve this platform each player has to solve their separated views of CG as well as of ITG. Nowadays, ITG is not included enough in the environment of the business world.
